1. General Provisions
These Terms of Service ("Terms") govern the use of services provided by Black Rock Media ("we," "us," or "our"), registered at [Address], Netherlands, Chamber of Commerce (KVK) number [number], VAT number [number].
By accessing or using our services, you agree to be bound by these Terms. If you disagree with any part of these terms, you may not access our services.

We provide digital media solutions, including but not limited to:
- Hotel TV management systems
- Navigation and wayfinding solutions

3. Agreement Formation
3.1. All our offers and quotations are non-binding unless explicitly stated otherwise.
3.2. An agreement is formed only after we have confirmed your order or assignment in writing or have commenced execution with your consent.
3.3. We reserve the right to refuse service to anyone for any reason at any time.
4. Prices and Payment
4.1. All prices are in euros and exclude VAT unless stated otherwise.
4.2. Payment must be made within 30 days of the invoice date unless agreed otherwise in writing.
4.3. If you fail to pay within the agreed period, you will be in default by operation of law and liable for statutory commercial interest (as per Article 6:119a Dutch Civil Code).
5. Intellectual Property
5.1. All intellectual property rights in our services remain our property or that of our licensors.
5.2. You receive only a non-exclusive, non-transferable license to use our services for the agreed purpose.
6. Privacy and Data Protection
6.1. We process personal data in accordance with our Privacy Policy and applicable data protection laws, including the GDPR.
6.2. As a data processor, we will enter into a data processing agreement with you when required by law.
7. Liability
7.1. Our liability is limited to the amount paid out by our professional liability insurance in the case concerned.
7.2. We are never liable for indirect damage, including consequential damage, lost profit, missed savings, or damage due to business interruption.
7.3. Any claim for damages expires twelve months after the damage was discovered or should reasonably have been discovered.
8. Force Majeure
8.1. We are not required to fulfill any obligation if prevented from doing so due to force majeure (as defined in Article 6:75 Dutch Civil Code).
8.2. If a force majeure situation lasts longer than two months, either party may terminate the agreement in writing.
9. Termination
9.1. Either party may terminate the agreement with due observance of a notice period of one month, unless agreed otherwise.
9.2. We may terminate the agreement immediately if you file for bankruptcy or suspension of payments.
10. Applicable Law and Disputes
10.1. These Terms are governed by Dutch law.
10.2. Any disputes will be submitted to the competent court in [City], Netherlands.
11. Changes to Terms
11.1. We reserve the right to modify these Terms at any time.
11.2. Changes will be effective immediately upon posting on our website.
